Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your") and GoyHub ("GoyHub," "we," "us," "our") regarding your access to and use of the GoyHub website, accessible at https://goyhub-frontend.vercel.app, and any related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Services.

We may revise these Terms at any time at our sole discretion. We will indicate revisions by updating the "Last updated" date at the top of this document. You waive any right to receive specific notice of each such change. Continued use of the Services after revisions are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of the Services

GoyHub is a private online community platform that allows users to chat in text and voice rooms, send direct messages, and share images. The Services are provided as-is for entertainment and social purposes. The Services are currently provided free of charge.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you.

3. Eligibility

You must be at least 18 years of age to access or use the Services. By using the Services, you represent and warrant that:

  1. You are at least 18 years old;
  2. You have the legal capacity to enter into these Terms;
  3. You will comply with these Terms and all applicable laws;
  4. You will not access the Services through automated or non-human means (bots, scripts, scrapers, etc.);
  5. You will not use the Services for any illegal or unauthorized purpose;
  6. The information you provide to us is true, accurate, current, and complete.

If we learn that a user is under 18, we will deactivate the account and delete associated data.

4. Accounts and Authentication

To use the Services, you must create an account. Account creation and authentication is handled through our authentication provider (currently Clerk), which may include sign-in via email or third-party social providers such as Google.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access or use

We are not liable for any loss or damage arising from your failure to safeguard your account.

You may not:

  • Sell, transfer, lease, or otherwise dispose of your account;
  • Allow another person to use your account;
  • Create an account on behalf of another person without authorization;
  • Create multiple accounts to evade bans, suspensions, or other moderation actions.

5. Acceptable Use and Prohibited Activities

GoyHub is built on the principle that adults should be able to converse, debate, joke, and disagree without excessive moderation. Edgy humor, satire, criticism, debate, and strong opinions are welcome. What follows is the floor — the lines we will enforce when reported.

You agree not to engage in any of the following on the Services:

Strictly Prohibited Activities

  1. Post or share child sexual abuse material (CSAM) or any content sexualizing minors. Reports of such content will be referred to the National Center for Missing & Exploited Children (NCMEC) and law enforcement.
  2. Post real, credible threats of violence against any person or group.
  3. Doxx, share, or solicit non-public personal information about other users or any third party without their explicit consent (including but not limited to home address, phone number, employer, or financial information).
  4. Use the Services to coordinate or facilitate illegal activity under federal, state, or local law.
  5. Distribute malware, viruses, phishing links, or attempt to compromise other users' accounts, devices, or data.
  6. Impersonate another user, public figure, or GoyHub staff in a manner intended to deceive.
  7. Engage in coordinated harassment campaigns targeting individual users.
  8. Circumvent bans, suspensions, or other moderation actions through alternate accounts, VPNs, or other means.

Additional Prohibited Activities

You also agree not to:

  • Use the Services to advertise or offer to sell goods or services without our express written permission;
  • Sell, transfer, or share your profile or account access with another person;
  • Systematically retrieve data or content from the Services to create a database, directory, or compilation;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services, except as permitted by applicable law;
  • Engage in any automated use of the system, including using scripts, bots, scrapers, or data-mining tools;
  • Interfere with, disrupt, or create an undue burden on the Services or the networks that support them;
  • Bypass, disable, or interfere with security-related features of the Services;
  • Use the Services in any manner that violates any applicable law or regulation.

Enforcement

Violation of this section may result in content removal, account suspension, permanent ban, and/or referral to law enforcement at our sole discretion. We reserve the right (but assume no obligation) to monitor, review, and enforce these Terms.

6. User Content

Your Ownership

You retain ownership of any text, images, voice recordings, or other content you create, upload, or transmit through the Services ("User Content").

License You Grant Us

By submitting User Content to the Services, you grant GoyHub a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, and transmit your User Content solely for the purpose of operating, providing, and improving the Services. This license terminates when you delete your User Content or your account, except to the extent your User Content has been shared with other users who retain a copy in their own conversation history.

Your Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

  1. You own or have the necessary rights to your User Content;
  2. Your User Content does not violate these Terms or any applicable law;
  3. Your User Content does not infringe the intellectual property, privacy, or publicity rights of any third party.

No Liability for User Content

GoyHub does not endorse, control, or assume responsibility for User Content posted by users. Pursuant to Section 230 of the Communications Decency Act (47 U.S.C. § 230), GoyHub is a provider of an interactive computer service and is not the publisher or speaker of User Content. Reliance on User Content is at your own risk.

We reserve the right (but assume no obligation) to remove, hide, or restrict access to any User Content at our sole discretion.

7. Intellectual Property

Our Content

The Services, including all software, source code, design, logos, graphics, text (excluding User Content), and other materials (the "GoyHub Content"), are owned by or licensed to GoyHub and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

Trademarks

"GoyHub" and the GoyHub logo are trademarks of GoyHub. You may not use these marks without our prior written permission.

Feedback

If you submit suggestions, feedback, or ideas about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose without compensation to you.

8. DMCA / Copyright Policy

GoyHub respects the intellectual property rights of others and expects users to do the same. We will respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.

Filing a DMCA Notice

If you believe that User Content posted on the Services infringes your copyright, please send a written notice to our Designated Copyright Agent that includes:

  1. A physical or electronic signature of the copyright owner or authorized representative;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the allegedly infringing material and its location on the Services (a direct link is helpful);
  4. Your contact information (name, address, telephone number, email address);
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Counter-Notice

If your User Content has been removed in response to a DMCA notice and you believe the removal was in error, you may submit a counter-notice that complies with 17 U.S.C. § 512(g).

Repeat Infringers

We will terminate the accounts of users who are determined, at our discretion, to be repeat infringers of copyright.

9. Termination

We may suspend or terminate your access to the Services, with or without cause and with or without notice, at any time and at our sole discretion. Reasons may include, but are not limited to: violation of these Terms, suspected illegal activity, or extended inactivity.

You may terminate your account at any time by contacting us at constantine.demoleas@gmail.com.

Upon termination:

  • Your right to access the Services ceases immediately;
  • We may delete or anonymize your account and User Content;
  • Sections of these Terms that by their nature should survive termination will survive (including IP, disclaimers, limitations of liability, dispute resolution, indemnification, and miscellaneous).

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

To the fullest extent permitted by law, GoyHub disclaims all warranties, express or implied, including but not limited to: merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability.

We make no warranty that:

  • The Services will meet your requirements;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • Any defects will be corrected;
  • The Services or the servers that make them available are free of viruses or other harmful components;
  • Any User Content is accurate, reliable, or appropriate.

We are not responsible for the conduct of any user, on or off the Services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GOYHUB OR ITS OPERATORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE FORM OF ACTION, IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless GoyHub and its operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  1. Your use of the Services;
  2. Your User Content;
  3. Your violation of these Terms;
  4. Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights;
  5. Your violation of any applicable law or regulation.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

13. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of New Jersey, United States, without regard to its conflict of law principles. The federal and state courts located in New Jersey have exclusive jurisdiction over any matter not subject to arbitration under Section 14.

14. Dispute Resolution

Informal Negotiations First

Before filing any claim against GoyHub, you agree to first attempt to resolve the dispute informally by contacting us at constantine.demoleas@gmail.com with a written description of the dispute. You agree to engage in good-faith informal negotiations for at least thirty (30) days before initiating arbitration or any other formal proceeding.

Binding Arbitration

If informal negotiations do not resolve the dispute, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in New Jersey, before a single arbitrator. The arbitrator's decision will be final and binding.

The language of the arbitration shall be English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Arbitration Fees

Each party will bear its own attorneys' fees and costs. GoyHub will not be responsible for paying arbitration filing or administrative fees on your behalf, except to the extent required by applicable law or by AAA's rules for consumer arbitrations.

Class Action Waiver

YOU AND GOYHUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.

Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes are not subject to arbitration:

  1. Claims to enforce or protect intellectual property rights;
  2. Claims for injunctive relief;
  3. Small claims court matters within the court's jurisdictional limits.

Time Limit to File Claims

Any claim arising out of or relating to these Terms or the Services must be brought within ONE (1) YEAR after the cause of action accrues. Otherwise, the claim is permanently barred. This limitation applies to the maximum extent permitted by law.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. The "Last updated" date at the top of this document indicates when these Terms were last revised. Your continued use of the Services after revisions are posted constitutes your acceptance of the revised Terms. We do not provide individual notice of changes; it is your responsibility to review these Terms periodically.

If we make material changes, we may, at our discretion, provide additional notice through the Services (such as an in-app banner).

16. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy and any other policies posted on the Services, constitute the entire agreement between you and GoyHub regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet outages, or third-party service provider failures.

Electronic Communications and Signatures

You consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures.

Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and GoyHub.
